民法典视域下科技创业团队创新成果的知识产权归属问题研究

摘　　要：近年来,随着科技创业团队和高新技术领域创新创业活动的迅速增加,与之相关的法律问题,特别是科技创业团队创新成果的知识产权归属问题变得尤为突出。在《民法典》实施前,由于我国民事法律关于民事主体类型、合伙制度的法律规定存在缺陷,使创业团队的法律属性及其创新成果的知识产权归属等问题长期存在难点和争议。在《民法典》实施后,我国合伙制度的法律规范得到全面完善,也为解决创业团队创新成果的归属问题提供了法律基础。根据《民法典》的最新规定,创业团队应当属于依据合伙协议形成的合伙,其创新成果属于合伙财产而归属于创业团队成员所共有。在此基础上,结合《专利法》《著作权法》的有关规定,明确科技创业团队产生的创新成果的知识产权归属规则。Recent years,with the rapid increase of technology entrepreneurial teams and entrepreneurial activities,the related legal issues,especially the ownership of intellectual property rights of entrepreneurial teams'innovative achievements,have become particularly prominent.Before the implementation of the Civil Code,due to the defects in the legal provisions of China's civil laws on the types of civil subjects and the partnership system,there were difficulties and disputes on the legal attributes of entrepreneurial teams and the ownership of intellectual property rights of their innovative achievements.Through the analysis of the difficult problems that affect the identification of the legal attributes of entrepreneurial teams,this paper points out the theoretical roots of civil law.According to the latest provisions of the Civil Code,it is pointed out that the entrepreneurial team belongs to the partnership formed according to the partnership agreement,and its innovation achievements belong to the joint ownership of entrepreneurial team members.On this basis,in combination with the relevant provisions of the Patent Law and the Copyright Law,the rules for the ownership of intellectual property rights of innovation achievements produced by entrepreneurial teams are clarified.
