优先股股东会制度的完善研究

摘　　要：优先股股东会制度是一项保护公司弱势群体优先股股东群体的重要制度。优先股的权利兼具债权与普通股股权的特征,收益的优先与表决权的缺失导致优先股与普通股股东之间存在利益冲突,缺乏话语权的优先股股东更有可能处于弱势地位。优先股股东会制度是对优先股股东的前端保护,中国对此立法总体采取列举式、强制式的规定,并允许章程进行其他约定。优先股股东会的表决事项应当以利害关系为标准,以明确的规定作为支撑,较少妨碍公司的行为自由。优先股股东会同样是公司决议的一环,因该股东会表决的缺失会致使公司决议的整体法律效果为不成立。优先股股东会在召集与表决程序中应当尊重优先股股东的知情权,法律应在特定场合下赋予异议优先股股东回购请求权。The preferred stock shareholders'meeting system is an important system for protecting the vulnerable group of preferred stock shareholders in a company.The rights of preferred shares have the characteristics of both debt and common stock equity.The lack of priority in income and voting rights leads to conflicts of interest between preferred and common stock shareholders,and preferred stock shareholders who lack the right to speak are more likely to be in a disadvantaged position.The preferred stock shareholders'meeting system is the front-end protection for preferred stock shareholders.China generally adopts enumeration and mandatory provisions for this legislation,and allows for other provisions in the articles of association.The voting matters of the preferred stock shareholders'meeting should be based on the standard of interests and supported by clear regulations,with less hindrance to the company's freedom of behavior.The preferred shareholders'meeting is also a part of the company's resolution,and the absence of such a meeting may result in the overall legal effect of the company's resolution not being established.The preferred stock shareholders'meeting should respect the right of preferred stock shareholders to know in the convening and voting procedures,and the law should grant dissenting preferred stock shareholders the right to repurchase requests in specific situations.
