摘　　要：高新技术产业横向并购的社会福利效应及其政策含义备受学界关注。基于新产业组织理论方法,引入厂商间策略互动,重视产业组织环境对厂商博弈规则的影响,通过图解不同情形下横向并购的社会福利效应,再建立集中度增加的垄断势力效应与成本节约效应分解模型,对Williamson权衡模型进行了拓展。对中国20个代表性高新技术产业集中度变动社会福利效应研究表明,考察期内占80%的行业获得净福利提升,集中度上升1%,全部行业社会福利约增进199.5亿元。福利增进在消费者和生产者之间的分摊并不均衡,生产者获得绝大部分,对消费者的影响近似中性。反垄断诉讼对高新技术产业横向并购的审查要真正做到权衡利弊,效率增进仅为提高消费者福利提供可能,真正实现还要视传递比而定。The social welfare effect of horizontal M&A in high-tech industries and its policy implications have drawn much attention from academic circles.Based on the theory of new industrial organization,this paper establishes the decomposition model of monopoly power effect and cost saving effect,and studies the Williamson tradeoff model by introducing the strategic interaction between firms,attaching importance to the influence of industrial organization environment on the game rules of firms,and illustrating the social welfare effect of horizontal M&A in different situations.The empirical study on the social welfare effect of concentration change of 20 representative high-tech industries in China shows that 80%of the industries get the net welfare increase.Concentration increased by 1%,and social welfare for all industries increased by about 19.95 billion yuan.Welfare gains are unevenly distributed between consumers and producers.Producers gain the vast majority,but these gains have a nearly neutral impact on consumers.The review of horizontal M&A in high-tech industries through anti-monopoly litigation should truly balance the pros and cons.Efficiency enhancement only provides the possibility of improving consumer welfare,and its true realization depends on the transmission ratio.
