摘  要:异议权属于中国合同解除制度中兼顾效率与公平,平衡双方权益的特有规则,《民法典》对原《合同法》中合同解除异议规则进行部分修改与保留,将有权提出异议的主体扩大为双方当事人,并明确异议的内容针对是否有权解除合同而非合同解除的效力。但合同解除异议权制度仍存在异议权属性质不明确,异议期间性质不清及行使后果较大等困扰。本文认为,异议期间并非除斥期间或诉讼时效,无需法律强行规定;行使异议权后合同解除时间的认定应以裁决为主。The right of objection belongs to a unique rule in the Chinese contract termination system that balances efficiency and fairness,and balances the rights and interests of both parties.The Civil Code partially modifies and retains the objection rule for contract termination in the original Contract Law,expanding the subject with the right to raise objections to both parties,and clarifying the effectiveness of the objection on whether to have the right to terminate the contract rather than its termination.However,the system of objection rights for contract termination still faces challenges such as unclear nature of objection rights,unclear nature of objection period,and significant consequences of exercise.This article argues that the objection period is not a period of exclusion or statute of limitations,and does not require mandatory legal provisions;The determination of the termination time of the contract after exercising the right of objection should be based on the judgment.
