摘　　要：对控制股东施加诚信义务,可有效制衡其在企业的控制权,减少大、中、小股东之间利益冲突,完善公司治理机制,平衡股东之间的利益。从公司治理前沿发展来看,引入控制股东诚信义务制度对维持股东间利益平衡尤其是保护中小股东权益具有重要的理论价值和现实意义。Imposing integrity obligations on controlling shareholders can effectively check and balance their control in the enterprise,reduce the conflict of interests between large,medium and small shareholders,improve the corporate governance mechanism and balance the interests of shareholders.From the perspective of corporate governance frontier development,the introduction of the controlling shareholders’integrity obligation system has important theoretical value and practical significance for maintaining the balance of interests a-mong shareholders,especially for protecting the rights and interests of minority shareholders.
