摘 要:市场交易是由一系列合同所呈现与实践的。包括《民法典》在内的诸多法律,均从司法调整与行政监管两方面规范市场交易,进而构成四种控制模式。有关合同监督必要性、违反强制性规定的合同效力等争议均是选择何种法律控制模式的体现。基于对法院判决的考察发现,民事案件中法院认定违反法律、行政法规强制性规定的合同是否有效会考虑民事责任与行政责任之关系;合同监督类行政诉讼案件中则会直接探讨行政监管的必要性与正当性。如何选择市场交易的控制模式,取决于当事人、行政部门、法院的信息收集能力、行为激励与行为成本等因素。立法部门与司法部门均应慎重选择适当的法律控制模式。Market transactions are represented by a series of contracts.Many laws,including the Civil Code,regulate market transactions from the aspects of judicial adjustment and administrative super-vision,and thus constitute four control models.Disputes over the necessity of contract supervision and the validity of contracts in violation of mandatory provisions are all manifestations of the choice of legal control model.Based on the investigation of court judgments,it is found that the court will consider the relationship between civil liability and administrative liability in determining whether a contract violates the mandatory provisions of laws and administrative regulations in civil cases,while the necessity and le-gitimacy of administrative supervision will be directly discussed in contract supervision administrative liti-gation cases.How to choose the control mode of market transactions depends on the information collec-tion ability of the parties,administrative departments,and courts,as well as behavioral incentives and behavioral costs.Both the legislature and the judiciary should carefully choose the appropriate mode of legal control.
