摘　　要：在现代公司治理与管理中,监督至关重要。通过对传统商事契约的解读,可以发现我国传统商事组织主要有诉诸经济处罚、伦理道德、声誉机制、神明监督几种主要监督形式,在历史上发挥了重要的作用。目前,我国公司监督领域制度实践的效果不尽人意,应该对传统商事组织的监督机制进行必要的传承与借鉴,不断提高公司治理与管理的效率。Supervision is crucial in modern corporate governance and management.Through the interpretation of traditional commercial contracts,this study finds that traditional commercial organizations in China mainly resort to several main forms of supervision,which have played an important role in history,including economic punishment,ethics and morality,reputation mechanisms,and divine supervision.The current corporate supervision practice in China is not satisfactory.The supervision mechanism of traditional commercial organizations should be inherited and referred to continuously improve the efficiency of corporate governance and management.
