摘　　要：商业判断规则本质上是衡平法中公平审查原则在商业决策中的退让与妥协。该制度通过限制法官对商业决策实质评价的介入来鼓励董事冒险决策,体现了对董事善意履职的尊重,蕴含了商业决策中效率优先的价值取向。我国新一轮的《公司法》修订秉持了弘扬企业家精神的基本理念,在部分条款的表达上体现了《公司法》向董事会中心主义转轨的趋势。作为平衡董事权责的重要机制,商业判断规则本土化的讨论有重要的现实意义。制度层面上,商业判断规则应当被视为一种司法克制要求,法院对商业决策的审查应当仅限于决策程序而非决策内容。商业判断规则本土化应当以新《公司法》第180条的阐述为基础,秉持对管理者决策司法谦抑的基本要求,在厘清争议问题的基础上通过司法解释的形式进行成文法化阐释。The business judgment rule is essentially a concession and compromise of the equitable review principle in equity in business decisions.The design of the system encourages directors to take risks in decisionmaking by limiting judges’involvement in the substantive evaluation of business decisions,refl ecting respect for directors’good faith performance of their duties and implying the value of prioritizing effi ciency in business decision-making.The new round of revision of China’s company law upholds the basic concept of promoting entrepreneurial spirit,and the expression of some provisions refl ects the trend of company law towards boardcentrism.As an important mechanism for balancing the rights and responsibilities of directors,the discussion of localizing the business judgment rule is of great practical signifi cance.The localization of business judgment rules should be based on the elaboration of Article 180 of the new Company Law,upholding the basic requirements of judicial moderation of managerial decision-making,and clarifying the controversial issues on the basis of judicial interpretation in the form of statutory interpretation.
