摘　　要：科研外协合同的审核对于保护医院利益至关重要。目前,多数由合作单位起草的合同存在付款风险、知识产权约定不明确、保密条款不严谨、验收条款不明确以及违约责任不清晰等问题。针对这些问题,医院需要采取一系列措施来完善合同内容。本文以某三甲医院为例,结合日常审核经验,从合同主体、合同内容、知识产权、违约责任、保密等方面揭示目前医院科研外协合同中存在的普遍性问题,并提出规范科研外协合同管理的建议,以期为医院科研外协合同管理实践提供参考。The audit of scientific research outsourcing contracts is very important to protect the interests of the hospital.At present,most of the contracts drafted by collaborators have problems such as payment risks,unclear intellectual property agreements,lax confidentiality clauses,unclear acceptance clauses and unclear liability for breach of contract.To address these problems,hospitals need to take a series of measures to improve the content of the contract.This paper takes a tertiary hospital as an example,combines the daily audit experience,reveals the common problems existing in the current hospital research outsourcing contract from the aspects of contract subject,contract content,intellectual property rights,breach of contract responsibility,confidentiality,etc.,and puts forward suggestions to standardize the management of scientific research outsourcing contract,with a view to providing references for the hospital's scientific research outsourcing contract management practice.
