摘　　要：“独立性”是独立董事制度的核心议题。对于独立董事“独立性”的研究一般以“经济人”为假设,从独立董事履职的成本与收益等角度展开,相关的制度设计也多基于相同的理念。以“经济人”假设为理论基础设计促进独立董事独立履职机制具有一定的合理性,但由于将人的心理因素排除在外,也存在明显的不足。从众心理、损失厌恶、单纯接触效应等人类的心理特质对独立董事的履职具有显著影响,行为经济学对上述心理特质作用机理清晰揭示,为破解独立董事独立履职难题提供了新的路径。为保证独立董事的“独立性”,从独立董事认知与决策的真实境况出发,可以通过引入独立董事事前承诺机制、完善独立董事专门会议机制和改革独立董事选任制度来促进独立董事独立履职。"Independence"is the core issue of the independent director system.The research on the"independence"of independent directors is generally based on the assumption of"economic man",from the perspective of the costs and benefits of independent directors performing their duties,and the relevant system design is mostly based on the same concept.It is reasonable to design a mechanism to promote independent directors to perform their duties based on the hypothesis of"economic man",but it also has obvious shortcomings because of the exclusion of human psychological factors.Human psychological traits such as herd mentality,loss aversion,and simple contact effect have a significant impact on the performance of independent directors.Behavioral economics clearly reveals the mechanism of the above-mentioned psychological traits,providing a new way to solve the difficult problem of independent directors'independent performance of duties.In order to ensure the"independence"of independent directors,starting from the real situation of independent directors'cognition and decision-making,independent directors can be promoted to perform their duties independently by introducing the mechanism of independent directors'prior commitment,improving the mechanism of independent directors'special meeting and reforming the system of independent directors'selection and appointment.
