摘  要:《中华人民共和国民法典》第四〇六条第二款的规定可解释为转让价款的物上代位规则。除符合正常经营买受人规则的情况外,由于动产具有高度的流动性,抵押权人可通过证明抵押物的转让增加了实现抵押权的难度从而主张价款物上代位,但抵押权应当已经登记。不动产抵押权原则上不能产生价款物上代位,但房屋抵押权受到房屋购买人期待权或建筑工程承包人工程价款优先权影响的除外。有禁止或者限制抵押物转让约定的情况并不能产生价款物上代位规则的适用。The provision of Article 406(2)of the Civil Code can be interpreted as a rule of subrogation of the transfer price.Except in cases that comply with the rules of normal business buyers,due to the high liquidity of movable property,the mortgagee can claim subrogation by proving that the transfer of the mortgage makes it more difficult to realize the mortgage,provided that the mortgage is registered.In principle,real estate mortgage rights cannot generate subrogation of the purchase price,except for those affected by the buyer’s right of expectation or the priority of the contractor.The existence of an agreement prohibiting or restricting the transfer of collateral does not give rise to the application of the subrogation of the price.
