监事会/监事视角下公共图书馆法人治理结构优化研究

摘　　要：公共图书馆法人治理结构将决策权、执行权、监督权分别交由不同机构,对于有效落实图书馆法人自主权、实现图书馆治理具有重要意义。本文根据前期对全国365家市(地)级以上公共图书馆法人治理结构实践情况的网络调研结果,从监事会/监事视角切入,将公共图书馆法人治理结构划分为二元—监事缺失型、二元—监事内嵌型、三元—监事会独立型3种类型,分别对不同类型中监事会/监事与理事会、管理层之间的权力制衡关系进行分析。尝试在章程中明晰监事职责、优化监事产生方式、支持监事开展常态化评价工作等方面,提出公共图书馆法人治理结构优化策略,以期促进公共图书馆法人治理结构科学化和规范化发展。The legal person governance structure of public libraries assigns the decision-making power,execution power and supervision power to different institutions,which is of great significance for the effective implementation of the autonomy of library legal persons and the realization of library governance.Based on the results of the Internet research of 365 public libraries,this paper starts from the perspective of supervisory boards/supervisors,and divides the corporate governance structure of public libraries into three types:binary-supervisory-absent,binary-supervisory-embedded,and ternarysupervisory board-independent.It also analyzes the checks and balances of power between the supervisory committee/supervisors and the board of councils and management.The article proposes strategies for optimizing the corporate governance structure of public libraries in terms of clarifying the duties of supervisors in the statutes,optimizing the way of identifying supervisors,and supporting supervisors to carry out regular evaluation work,with a view to promoting the scientific and standardized development of the corporate governance structure of public libraries.
