反垄断法“保护竞争”与“鼓励创新”目标的冲突与调和——以规制经营者集中为视角

摘　　要：《反垄断法》增设“鼓励创新”立法目标,这一制度革新顺应了国家创新驱动发展的战略需求。但是,反垄断法规制经营者集中以保护竞争为直接目的,执法机构面临如何协调保护竞争目标与鼓励创新目标的问题。反垄断执法机构厘清二者关系需坚持竞争创新交叉论的认知立场,当竞争目标与创新目标并列冲突时,通过提升对创新价值的关注及扩展创新考量的空间进行调和;同时,附加限制性条件是调和竞争目标和创新目标矛盾的有效工具,然附加限制性条件为了维护竞争而设立,调和竞争与创新矛盾的效果较为有限,有必要借鉴域外有效经验,根据具体的创新需求优化条件设计,优先适用行为性条件,谨慎适用结构性条件。The legislative goal of“encouraging innovation”was added into Anti-monopoly Law of the People's Republic of China,which conforms to the strategic needs of innovation-driven development.However,as the direct purpose of Anti-monopoly Law to regulate the concentration between undertakings is to protect competition,enforcement body is faced with the problem of how to coordinate the two goals of protecting competition and encouraging innovation.To clarify the relationship between the two,anti-monopoly law enforcement agencies should adhere to the cognitive position of the intersection theory of competition and innovation,and when the competition objectives and innovation objectives are in parallel conflict,they should be reconciled by raising their attention to innovation value and expanding the space for innovation consideration.At the same time,additional restrictive conditions are an effective tool to reconcile the contradiction between competitive goals and innovative ones.However,attaching restrictive conditions are set up to maintain competition,and the effect of reconciling the contradiction between competition and innovation is limited.It is therefore necessary to learn from effective experience abroad,optimize the condition design according to specific innovation needs,give priority to behavioral conditions,and carefully apply structural conditions.
