摘 要:《民法典》的编纂以形式主义为基本框架,融入功能主义,融资租赁就是功能主义最显著的表现。在融资租赁交易中,出租人的所有权实质上体现的是担保的功能,是形式意义上的所有权,实质意义上的担保物权。融资租赁合同是具有融资、租赁、担保功能的合同,与普通的租赁合同有所区别。融资租赁合同本身具有担保功能,但具有担保功能并非等于担保合同,其与担保合同存在差异。融资租赁合同出租人所有权的登记也是为了保障租金债权能够顺利实现。在融资租赁交易中出租人的所有权与其他权利人之间发生冲突时,是否可以适用动产抵押权的相关规定,在学术界有一定的争议,明确其在权利发生冲突时的顺位规则,是维护融资租赁交易安全的前提。The compilation of the Civil Code takes formalism as the basic framework and integrates functionalism.Financial leasing is the most prominent form of functionalism.In the financial leasing transaction,the ownership of the lessor reflects the function of guarantee in essence,which is ownership in the formal sense and security interests in the substantive sense.The financial lease contract is a contract with the functions of financing,leasing and security,which is different from ordinary lease contracts.The financial lease contract itself has the security function,but that is not equal to security contract.The registration of the lessor's ownership in the financial lease contract is also to ensure the realization of rent claims.In the financial leasing transaction,whether the relevant provisions of movable property mortgage can be applied when there is a conflict between the ownership of the lessor and other right holders,there is a certain dispute in the academic circle.Clarifying the priority rule in the event of a conflict of rights is the premise of maintaining the security of financial leasing transactions.
