出资未届期股权出让人的补充责任研究

摘　　要：公司资本认缴制度充分肯定了认缴出资股东的期限利益,符合公司的稳健发展和市场的公平交易原则。为平衡股东的期限利益与公司债权人的利益,出资未届期股权出让人需承担补充责任,旨在确保商业活动中各方权益得到妥善保障。但出资未届期股权出让人承担补充责任是否需具备特定情形仍未定论。通过分析出资未届期股权转让合理性,讨论出资未届期股权出让人转让股权后对公司债权人的责任承担问题,得出需在特定情形下,才能要求出让人承担补充责任。在满足未出资股东对公司债权人担责的一般要件基础之上,特定情形包括出让人具备非法目的的客观表象、债权人对出资未届期股东的信赖等。The company’s capital subscription system,fully affirms the term interests of the subscribed capital contribution shareholders,in line with the steady development of the company and the fair trading principles of the market.In order to balance the term interests of shareholders and the interests of the creditors of the company,the equity transferor of the unexpired capital contribution shall bear supplementary liability,aiming to ensure that the rights and interests of all parties are properly protected in commercial activities.However,it is still uncertain whether specific circumstances are required for the equity transferor of an unexpired capital contribution to be liable for supplementary liability.By analyzing the rationality of the equity transfer of an unexpired capital contribution,discussing the liability of the creditors of the company after the equity transfer of an unexpired capital contribution,it is concluded that the transferor can be required to assume the supplementary liability under specific circumstances.On the basis of meeting the general requirements of the liability of the uncontributed shareholders to the creditors of the company,the specific circumstances include the transferor has the objective appearance of the illegal purpose,and the creditors have the trust of the unexpired capital contribution shareholders.
