摘　　要：当前,我国部分中小金融机构风险较高,且风险资本补充较难。本文通过总结中小金融机构并购化险的美国经验,研究利用合并重组方式使风险性银行摆脱风险甚至扭亏为盈。为现在或者将来中小商业银行区域内合并重组提供参考,也可以为基层央行银开展机构风险处置、早期纠正提供参考。At present,the risk of some small and medium-sizedfinancial institutions in our country is high,and it is difficult to supplement risk capital.By summarizing the American experience of merger and acquisition insurance of small and medium-sizedfinancial institutions,this paper studies how to use merger and reorganization to make risky banks get rid of risks and even turn losses into profits.It can provide a reference for the current or future merger and reorganization of small and medium-sized commercial banks in the region,and also provide a reference for the grass-roots central bank to carry out institutional risk disposal and early correction.
