我国企业刑事合规制度完善的路径

摘　　要：刑事合规就是企业内部刑事风险防控机制,企业通过构建和实施管理制度,确保企业及其从业人员的行为符合所在国刑事法律规范,用以降低企业的刑事法律风险或者实现刑事责任的减免。目前,此项制度已经全面运用到我国的理论和实践中,但在运用过程中,存在诸多问题,应当通过理论和制度的不断构建与完善,实体法与程序法相结合,合理调整企业合规计划,具体分析单位犯罪中单位与成员的责任分配,刑事诉讼程序中构建合规不起诉制度,发挥相关主体即第三方监督评估机制的作用,完善企业的结构性治理,更进一步提高企业的刑事合规的发展水平,构建具有中国特色的合规不起诉制度,从而促进新时代法治化营商环境的持续优化和高质量发展。Criminal compliance refers to the internal criminal risk prevention and control mechanism of en-terprises.By constructing and implementing management systems,enterprises ensure that the be-havior of enterprises and their employees complies with the criminal legal norms of the host coun-try,in order to reduce the criminal legal risks of enterprises or achieve the reduction of criminal liability.At present,this system has been fully applied in the theory and practice of our country,but there are many problems in the application process.It should be continuously constructed and improved through the combination of theory and system,substantive law and procedural law,rea-sonable adjustment of enterprise compliance plans,specific analysis of the allocation of responsi-bilities between units and members in unit crimes,construction of a compliant non prosecution system in criminal litigation procedures,playing the role of relevant parties,such as third-party supervision and evaluation mechanisms,improving the structural governance of enterprises,fur-ther improving the development level of criminal compliance of enterprises,and building a compli-ant non prosecution system with Chinese characteristics,thereby promoting the continuous opti-mization and high-quality development of the rule of law business environment in the new era.
