摘　　要：随着我国中小企业的规模不断扩大,如何提高资金融通的效率和规模一直是当代学界所思考和探索的问题。根据交易结构的不断变化和发展,我国的融资担保的方式也在不断创新,股权让与担保这一方式在满足市场需要的前提下而应运而生。股权让与担保是指受让人和转让人之间以股权转让的方式设立担保,目标股权通过登记设立在受让人的名下,从而保障其债权的实现。由于让与担保能够节约交易成本,扩大担保的范围,还能够保障交易安全,一定程度上阻却恶意第三人出现的可能性,因此在民商事领域的实践中其作为一种非典型担保制度运用的愈加广泛。With the continuous enlargement of the scale of SMEs,how to improve the efficiency and scale of financial financing has been a problem that has been considered and explored by contemporary academia.According to the constant change and development of transaction structure,the way of financing guarantees in our country is also being innovated constantly.Equity transfer guarantee means that the transferee and the transferor set up a guarantee in the way of equity transfer,and the target equity is registered in the name of the transferee,so as to ensure the realization of its creditor’s rights.As it can save transaction costs,expand the scope of guarantee and guarantee the security of transactions,it can prevent the possibility of malicious third parties to a certain extent.Therefore,it is increasingly widely used as an atypical guarantee system in the practice of civil and commercial affairs.
