摘　　要：专利转让作为创新成果转化中的重要途径,其过程中涉及多方面的法律问题。转让双方不仅要面临转让合同中可能会出现的一般性法律问题,也要提前知悉相关行业的特别性规定或注意事项,还需要对专利制度和具体技术有足够深入的了解,才能确保专利转让的顺利完成。对此,服务机构需要拓宽自己的业务领域,从客户的实际需求出发,先对转让主体、标的专利进行全面的调查和检索分析,确认是否存在影响转让的瑕疵;在合同审核阶段,需要结合自身经验,向当事人全面揭示潜在的法律风险及对应的建议;最后在合同谈判时,需要结合当事人真实的需求来判断哪些是需要坚持的核心条款,从而做到有的放矢。Patent transfer is an important way in the transformation of innovations,the process of which involves a variety of legal issues.The transferring parties not only have to face the general legal issues that may arise in the transfer contract,but also need to be aware of the special provisions or precautions of the relevant industry in advance,and also need to have a sufficiently in-depth understanding of the patent system and the specifi c technology,to ensure that the successful completion of the transfer of patents.In this regard,the service organization should broaden its business area based on the actual needs of the customer,and fi rst conduct a comprehensive investigation and search analysis on the subject of the transfer and the subject patents to confi rm whether there are any defects aff ecting the transfer.In the stage of contract review,it needs to combine with its own experience to comprehensively reveal to the party the potential legal risks and the corresponding recommendations.Finally,when negotiating the contract with the other party,it is necessary to combine the actual needs of the party to determine which are the core terms that need to be insisted upon,so as to achieve the target.
