摘 要:人合性是合伙财产份额转让限制规则的重要来源,但当下对人合性的解读与适用存在教条化问题。人合性理论旨在维系企业稳定发展,应当作为判断工具,而非立法目标,其内涵也并非单一的和谐人际关系。对人合性的过度重视还会导致对其他价值的冲击,基于人合性建立的转让规则体系在实际场景中也存在引发僵局的风险。因此,人合性应当回归判断工具的角色,以是否有助于企业存续发展为核心要素,以尊重企业自治为前提,仅将人合性作为有助于企业存续的判断因素之一,在综合其他各项条件的基础上,对财产份额转让的效力进行判断。Human Joining is an important source of rules restricting the transfer of partnership property shares,but there is a dogmatic problem in the interpretation and application of personal compatibility at present.The theory of human joining is intended to maintain the stable development of enterprises,which should be used as a judgment tool,not a legislative goal,and it not just means harmonious interpersonal relationship.Moreover,excessive emphasis on human joining will lead to negative impact on other values.In actual scenarios,the system of transfer rules based on human joining also risks deadlock.Therefore,human joining should return to the role of judgment tool,take whether it is conducive to the survival and development of the enterprise as the core element,respect the autonomy of the enterprise as the premise,take human joining as one of the judging factors conducive to the further development of the enterprise,and judge the force of the transfer of property shares on the basis of comprehensive conditions.
