摘　　要：众所周知公司登记制度的重要性,公司作为市场经济最重要的主体,想要作为法律主体参加社会经济活动,有相对完善的公司登记制度是十分重要的。在我国,宏观调控是国家干预经济的重要途径,公司登记制度在宏观调控中也有着重要地位。在理论的基础上,结合实践,进行总结,最终促进公司登记制度的改良,起到稳定市场,促进经济发展的作用。2024年7月1日起施行的最新《公司法》通过让公司登记制度独占一章的方式提高了公司登记制度的地位,但是仍然存在一些值得讨论的问题,笔者经过思考提出了一些建议:首先可以增加公司实际控制人的登记,其次可以明确公司登记住所送达文书的效力,最后可以增设公司秘书制度,希望通过这些方式可以对公司登记制度的完善有所启发。The importance of the company registration system is well known,the company is the most important subject of the market economy,want to participate in social and economic activities as a legal subject,it is very important to have a relatively sound company registration system.In our country,Macro-control is an important way for the state to intervene in the economy,the company registration system also plays an important role in macro-control.Based on theoretical principles and practical experience,summarize and eventually improve the company registration system,which can stabilize the market and promote economic development.The latest Companies Act effective from 1 July 2024 has improved the status of the company registration system by giving the company registration system an exclusive chapter,however,there are still some problems worthy of discussion.After thinking,the author puts forward some suggestions:first,the registration of the actual controller of the company can be increased,secondly,it can clarify the validity of the documents served on the registered domicile of the company,finally,the company secretary system can be added,it is hoped that the improvement of the company registration system can be inspired by these ways.
