浅析EPCI总包商视角下国际海上油气工程合同评审注意事项

摘　　要：由于国际海上油气项目通常具有全球化材料和设备采购,陆地建造规模更大型化与复杂化,以及海上安装现场环境的特殊性和危险性等显著特点,其在EPCI总包合同技术要求、合同责任等方面与其他行业或国内项目都有所不同。文章从EPCI总包商的角度,选取EPCI总包商在合同谈判中常处于不利地位的设计责任、质量要求和缺陷责任期、保障责任和分配机制等条款,分析合同审查阶段需要注意的关键事项,以期能够为正在或将要承担国际海上油气EPCI项目的总承包商提供参考。Due to the international offshore oil and gas projects are usually characterized with the following significant features,the material and equipment are procured from world-wide,the onshore fabrication scale are huger and technology are more complex,as well as the environment of the offshore installation site are special and hazardous,so that the technical requirements and contractual responsibilities of the EPCI contracts are very different from the other industries or domestic projects.This article,from the perspective of the EPCI contractor,selects several key contractual terms and conditions,such as design responsibility,quality requirements and defects liability period,indemnities and allocation mechanism,where the EPCI contractors are always in the disadvantaged position during the contract negotiation,to analyze the critical issues that need to be paid high attention to during the contract review phase,in order to provide reference for EPCI contractors who are currently or will be undertaking the international offshore oil and gas EPCI projects.
