摘　　要：数字经济是以数据资源为关键要素的新经济形态,数据要素是数字经济深化发展的核心引擎。数据信托并非个人信息保护或数据安全保障的制度安排,而是一种新型的数据财产管理机制,其对于破除数据要素流通障碍、促进数据价值创造、推动数据要素市场化配置具有重要的现实意义,具有内在的生成逻辑。我国的数据信托在理论和实践上存在功能定位模糊、信托财产法律属性不明、信托当事人确定困难等诸多困境,严重制约了数据信托的探索和发展。应立足于我国数据要素市场的实践需要和现行信托法律制度,秉持以数据财产转移为基础的数据财产管理之功能定位,明确数据财产权的法律属性,厘清数据信托当事人,构建中国式数据信托法律制度,促进数字经济的健康发展。Digital Economy is a new economic form with data resource as the key element,and the element of data is the core engine for furthering the development of digital economy.Data Trust is not an institutional arrangement for protecting personal information or guaranteeing data security,but a new type of data property management mechanism,which is of great practical significance in overcoming obstacles of circulating the element of data,promoting the value creation of data,and improving the market-oriented allocation of the element of data,and enjoys inherent generative logic.There are many predicaments in the theory and practice of data trust in China,such as vague functional orientation,unclear legal attribute of trust property,difficulty in ascertaining the trust-related parties,etc.,which seriously limits the exploration and development of data trust.It is advisable,on the basis of the practical needs of the data-element market and current legal system on trust in China and by adhering to the functional orientation of the data property management based on the transfer of data property,to make clear the legal attribute of the data property rights,to clarify the parties of data trust and establish the Chinese-style data trust system,which is different from that in foreign countries,so as to promote the healthy development of digital economy.
