新《公司法》背景下我国公司登记制度问题研究

摘　　要：公司登记制度作为公司法的核心制度,历经多次修订完善后逐步成为我国社会主义市场经济发展中的重要管理制度,承担着降低商事交易信息成本、提高交易效率、保护交易安全的重任。新《公司法》专列“公司登记”一章,调整和新增了多项相关规定,彰显了公司登记行为的服务属性,强化了登记信息的公示公信效力,使我国公司登记制度得到了进一步的完善和优化。但是关于公司登记事项不全面、登记信息公示滞后、登记机关的审查义务以及公司登记被撤销的民事责任承担等问题并未得到有效解决,应建立统一、科学、有效的公司登记制度,助力我国公司登记制度的现代化发展。The company registration system,as the core system of the“Company Law”,has undergone multiple revisions and improvements,gradually becoming an important management system in the development of China's socialist market economy.It bears the responsibility of reducing the cost of commercial transaction information,improving transaction efficiency,and protecting transaction security.The new“Company Law”includes a special chapter on“Company Registration”,which adjusts and adds multiple relevant regulations,highlights the service attributes of company registration behavior,strengthens the publicity and credibility of registration information,and further improves and optimizes China's company registration system.However,the issues of incomplete company registration items,delayed disclosure of registration information,review obligations of registration authorities,and civil liability for revocation of company registration have not been effectively resolved.A unified,scientific,and effective company registration system should be established to assist in the modernization of China's company registration system.
