摘  要:2024年3月,证监会发布《关于加强证券公司和公募基金监管加快推进建设一流投资银行和投资机构的意见(试行)》等相关指导意见,传递支持证券公司通过并购重组等方式做优做强,引领行业高质量发展的战略导向。证券行业属智力密集型和资本密集型行业,收并购过程中人力资源资产质量是影响交易资产标估值的核心变量,也是能否成功收购的核心因素。针对收并购后因认知及情感冲突等带来的人力资源难题,本文从亲历者视角,分享YK证券收并购人力资源整合的经验。YK证券针对证券行业强监管、市场化程度高的特点,通过重构组织架构、理顺体制机制、培养组织氛围等举措,打破传统管理模式,形成人才队伍新循环,营造干事创业新氛围,实现了并购后各项业务走上正轨。In March 2024,the CSRC issued some guidelines like Opinions on Strengthening the Supervision of Securities Companies and Public Funds and Accelerating the Construction of First-class Investment Banks and Investment Institutions(Trial),which shows positive support on securities companies development via M&A to lead industry high-quality growth.Given the feature of intelligence-intensive and capital-intensive for securities industry,the quality of human resources assets becomes a core factor that influence the evaluation for transaction assets and final success of an acquisition.In view of the human resource problems caused by cognitive and emotional conflicts after mergers and acquisitions,this paper shares YK Securities'experience in integrating human resources after mergers and acquisitions from the perspective of a person who has experienced the situation.Aiming at the characteristics of the securities industry,which is strongly regulated and highly market-oriented,YK Securities has broken the traditional management mode by restructuring the organizational structure,rationalizing the institutional mechanism and fostering the organizational atmosphere to form a new cycle of the human resources and create a new atmosphere for entrepreneurship.YK Securities was able to realize its business on track after the merger and acquisition by restructuring its organizational structure,rationalizing its institutional mechanism and cultivating its organizational atmosphere.
