摘 要:中小企业在应对标准必要专利许可谈判时,普遍存在对标准技术理解不足、许可信息不对称、缺乏谈判应对经验、资源不足等难题,在面对许可要求时以不利条件签订许可协议的风险更高。文章首先讨论了标准必要专利许可的焦点问题,然后以中小企业实施者的立场出发,结合近年来国内外在标准必要专利许可纠纷解决领域的新进展,分析许可谈判各阶段实施者需考虑的问题,并提供可参考的策略,以应对专利权人以标准必要专利为基础的许可主张。When dealing with standard essential patent licensing negotiations,Small and Medium-sized Enterprises(SMEs)generally have problems such as insufficient understanding of standard technology,asymmetric licensing information,lack of experience in negotiation and resources.Confronted with licensing claims from patent holders,SMEs often have higher risks of signing licensing agreements with disadvantage.This paper first discusses the focal issues related to standard essential patent licensing negotiations,and then combined with new developments in the field of standard essential patent dispute resolution at home and abroad in recent years,analyzes the matters that need to be considered and provide corresponding reference strategies at each stage of the negotiation,which aims to deal with patent holders’claims for license based on standard essential patents.
