摘　　要：国有资本减持是优化国有资本配置 ,增强国有资本控制力的必由之路。而减持国有资本的财务运作与风险控制尤为重要 ,在财务运作上可通过国有股配售、回购、股转债、向投资者转让及减持方式组合与国有资本重组等方式进行国有股减持。在风险控制上要注意国有股权定价及国有资本控制权等问题 。The State capital's decreasing is an inevitable way to optimize state capital's distribution and strengthen controlling power of state capitals.The financial operation of state Capital's decreasing and risk-controlling are very important.In the financial operation,state shares's decrease may be implemented through states' selling ration,repurchasing,turning shares into debts,transforming shares to investors, other reorganizing methods.In risk-controlling we should pay attention to the given price of state share's right,state capital's right-control and so on.The strategy of state share's decreasing should be implemented step by step.
