摘　　要：形成于工业时代的公司法正面临着数字化转型的挑战和因之变革的机遇,一种新的公司法范式——“数字公司法”开始浮现。从聚焦于公司与国家机关之间沟通关系的“公司外部数字化”,到公司结构之内重构公司组织、融资、治理的“公司内部数字化”,再到将自然语言的规则转变为机器可读语言的“公司法代码化”,公司数字化程度不断深化,“数字公司法”的宏观体系由此建立。另一方面,从数据出资、代币发行到人机协作、网络安全合规义务,再到在线虚拟会议、去中心化自治组织,一系列开放议题不断生长,“数字公司法”的微观制度亦得以丰富。数字公司法是一个新兴事物,我国公司法应未雨而绸缪,在科技与法律互动中实现观念迭代与制度更新。The Corporate law,which was formed in the industrial era,is facing challenges and opportunities of digital transformation,and a new paradigm of corporate law—“digital corporate law”is beginning to emerge.From the“external digitalization of the company”,which focuses on the communication relationship between the company and the state authorities,to the“internal digitalization of the company”,which restructures the organization,financing and governance of the company within the corporate structure,to the“codification of the company law”,which transforms the rules of the natural language into a machine-readable language,the degree of company digitization has been deepening,and the macro-system of“digital company law”is thereby established.On the other hand,the micro-system of“digital corporate law”has been enriched by a series of open issues,ranging from data funding and token issuance to human-machine collaboration and cybersecurity compliance obligations,as well as online virtual meetings and decentralized autonomous organization.Digital corporate law is a developing business,and it is necessary to plan ahead for the corporate law of China,so as to realize the conceptual iteration and institutional renewal in the interaction between science and technology and law.
