《民法典》视域下主合同仲裁条款对担保合同的适用研究

摘　　要：对于主从合同纠纷的仲裁管辖问题,鉴于我国基本法律制度的阙如,该问题的解决只能依据各仲裁机构的合并仲裁和追加当事人制度,但适用这两种规则,不可避免地会发生当事人意思自治和仲裁庭最终决定权之间的冲突,同时各仲裁规则的差异性会导致裁决结果缺乏可预见性。仲裁协议效力扩张理论是实体法理论在程序法上的应然实现,不足以证成主合同仲裁条款适用于担保合同的正当性,而正当性基础实则在于担保人享有的法定代位权系法定债权移转,以及通过合同解释规则能够解释出担保人具有同意主合同仲裁条款的意思表示。基于此,应当以合同法解释规则为基础,构建主从合同纠纷的仲裁管辖适用规则,赋予担保人在特殊情形下的拒绝权,进而实现仲裁意思自治与商事仲裁效率价值的整合。With regard to the arbitration jurisdiction of disputes over main contracts and subcontracts,in the view of the absence of China's basic legal system,the problem can only be resolved by resorting to the consolidation of arbitration and the additional party system of the arbitration institutions.However,the application of these two rules will inevitably incur conflicts between the party's autonomy and the arbitral tribunal's final decision power,while the differences in the arbitration rules will result in a lack of predictable results of the awards.Arbitration agreement effect expansion theory is the realization of the substantive law theory to the procedural law,which is not enough to justify the main contract arbitration clause being applicable to the guarantee contract.The basis of legitimacy is that the legal right of subrogation by the guarantor is the transfer of legal claims,and that the guarantor's consent to the arbitration clause of the main contract can be explained through the rules of contract interpretation.The rules of contract law interpretation are used as the basis for the construction of the rules applicable to the arbitration jurisdiction of the main contracts and subcontracts dispute,giving the guarantor the right of refusal in the special circumstances,thus realizing the integration of the values of arbitral autonomy and commercial arbitration efficiency.
