摘 要:《中欧全面投资协定》(CAI)未包含国际社会正在进行改革的投资者—国家间争端解决(ISDS)机制,这一方面说明ISDS机制改革本身具有复杂性,另一方面也可看出中欧就该问题尚有分歧。目前,欧盟通过建立投资法庭制度(ICS)实现ISDS机制司法化改革的方式已十分明确,而中国的改革态度仍保持谨慎。基于中国国际投资身份混同、国际投资规则制定话语权提升的现实起点,CAI谈判成为在ISDS机制改革中注入中国元素的有利时机。为了引领规则制定,CAI中ISDS机制中国方案在价值上应当体现对投资者保护与东道国规制权平衡的维护,并在促进可持续发展的同时进一步推动全球治理的完善。故此,需要正视与欧盟存在的差异,积极寻求共识,通过设立投资争端预防机制、强化替代性争端解决方式、确保仲裁员的专业性和公正性及构建灵活的上诉安排,制定符合中国利益亦能被欧盟接受的ISDS机制方案。The China-EU Comprehensive Investment Agreement(CAI)is a comprehensive,balanced and high-level Agreement that sets international high-level economic and trade rules.However,the Agreement does not include Investor-State Dispute Settlement(ISDS),which the international community is vigorously reforming.The blank space of ISDS demonstrates the complexity of the ISDS reform itself on the one hand,and on the other hand,it indicates that China and EU have not reached a consensus on this issue.Currently,EU has been very clear about the way to achieve the judicial reform of the ISDS by establishing the Investment Court system(ICS),while China's reform attitude is more cautious.Based on the realistic starting point of China's mixed status in international investment and the promotion of rulemaking power in international investment field,CAI negotiation has become a favorable opportunity to incorporate Chinese elements into ISDS reform.In order to lead the rule-making,the Chinese approach for ISDS in CAI should reflect the maintenance of the balance between investor protection and the regulatory rights of host State in value,and further promote the improvement of global governance while accelerating sustainable development.Specifically,in negotiation of CAI,China should not only confront the disparities between China and EU,but also actively seek common ground between the two sides.By establishing an investment dispute prevention mechanism,strengthening alternative dispute settlement,ensuring the professionalism and impartiality of arbitrators,and constructing flexible appeal arrangements,China should formulate policies that reflect Chinese wisdom and conform to China's interests,andalso be acceptable to EU.
