摘　　要：作为组织法上的特殊法律行为,决议行为是否属于法律行为在学界不乏讨论,其中最具代表性的便是“法律行为”说,决议行为自身也存在着天然的张力,作为组织法的一员,要从团体内部的视角才能正确理解决议行为与法律行为的概念能否完美契合,而作为法律行为,决议行为却并不当然适用于《民法典》中法律行为的效力瑕疵规则,公司决议行为是其中最具有代表性的一种,因此,需要对该种决议行为规则的特殊性一一洞悉。As a special legal act in the organic law,whether the act of resolution is a legal act has been discussed in the academic circle.The most representative one is“legal act”,which says that the act of reso⁃lution itself also has natural tension.As a member of the organic Law,it is necessary to correctly under⁃stand whether the concepts of the act of resolution and the legal act can be perfectly compatible from the per⁃spective of the internal group.However,the act of resolution is not of course applicable to the validity de⁃fect rules of legal acts in the Civil Code,and the act of corporate resolution is one of the most representa⁃tive ones,so the particularity of the act rules of this kind of resolution needs to be understood.
