论关联企业实质合并破产标准适用之完善——以效益视角下的比例原则适用为中心

摘　　要：《全国法院破产审判工作会议纪要》第32条提出将法人人格高度混同、区分财产成本过高、单独审理严重损害债权人清偿利益作为关联企业实质合并破产的适用情形。但囿于第32条规定的模糊性,实践中关联企业实质合并破产规则标准的适用存在差异。因此,需要重构关联企业实质合并破产制度的适用标准,解决裁判实践中关联企业实质合并标准适用的困境。通过对规定的重新阐释,关联企业实质合并的形式标准应当存在“法人人格高度混同、区分财产成本过高”以及“法人人格高度混同、区分财产将严重损害债权人清偿利益”两种适用情形。立足于效益价值,在破产审判实践中引入比例原则作为实质合并制度适用的审查依据,采用效果均衡性审查模式构建实质合并适用的审查标准,对关联企业实质合并制度的有效适用具有显著指导意义。Article 32 of the Summary of Bankruptcy Judicial Work of National Courts proposed that the applicable standards for substantive consolidation of affiliated enterprises in bankruptcy should be the high degree of confusion of corporate personality,the high degree of confusion of property,the high cost of differentiation,and the serious damage to the interests of creditors in separate trials.However,the lack of clarity of the applicable standards easily leads to obstacles to the application of substantive consolidation in judicial practice.Therefore,it is necessary to refactor the form and substance standards for the substantial consolidation of related enterprises in bankruptcy,in order to solve the predicament in the application of the standards for the substantial consolidation of related enterprises in judicial practice.By reinterpreting the regulations,the form standard for the substantial consolidation of related enterprises should include two scenarios:high degree of confusion of legal personality and excessive cost of distinguishing property and high degree of confusion of legal personality and distinguishing will seriously damage the creditors'recovery interests.Based on the value of benefits,the proportionality principle is introduced in bankruptcy adjudication practice as the review basis for the application of the substantive consolidation,and the review standard for the application of the substantive consolidation is constructed by adopting the effect balance review model,which has significant guiding significance for the effective application of the substantive consolidation of related enterprises.
