摘 要:吊销、破产、简易注销等机制在近年来清理僵尸企业的实践中都表现出各自的局限性,有必要构建和完善市场主体强制退出法律机制。比较域内外的立法与实践经验,强制注销、强制除名等多种制度具有差异性,应该坚持以强制注销为核心的市场主体强制退出机制建构,同时注重发挥我国既有制度如吊销机制的协同作用,注意健全配套机制以维护利害关系人的权益。最后,还应建立健全相应的督促、惩戒机制以促进企业自行清算后退出,减少对强制退出机制的过分依赖。Revocation,bankruptcy,simple cancellation and other mechanisms have shown their limitations in the practice of cleaning up zombie enterprises in recent years,so it is necessary to construct and improve the legal mechanism of compulsory withdrawal of market entities.Comparing the legislative and practical experience inside and outside China,there are differences in various systems such as compulsory cancellation and compulsory delisting.We should adhere to the construction of compulsory withdrawal mechanism of market entities with compulsory cancellation as the core,and pay attention to the synergistic effect of China's existing systems such as revocation mechanism,and improve the supporting mechanism to safeguard the rights and interests of stakeholders.Finally,we should also establish and improve the corresponding supervision and punishment mechanisms to promote the withdrawal of enterprises after self-liquidation,and reduce excessive reliance on the compulsory withdrawal mechanism.
