摘　　要：建筑工程企业持有稀缺性优质资质,这种优质资质具有依附性等特点,在进行破产重整时,需要保留企业法人的主体资格,从而使企业的优质资质得以延续。采用“资质壳资源重整+原债权债务剥离清算”的清算式重整模式,将债务企业的优质资产重组给重整投资人,收到的偿债资金用于清偿企业债务,这样不仅能够延续企业的法人主体资格,保留企业的品牌、影响力和优质资质,同时能够剥离原债权债务,为企业重整减压,从而优化资源配置,助力企业稳健发展。The high-level qualifications of construction enterprises are rare and inalienable.In bankruptcy reorganization,it is necessary to preserve the legal entity status of the enterprises,thereby ensuring the continuation of the enterprise’s high-level qualifications.The mode of liquidation reorganization is adopted by means of“reorganization of qualification shell resources+separation and liquidation of original claims and liabilities”.The high-level assets of the debtor enterprises are restructured and transferred to the reorganization investor,and the repayments received are used to settle the enterprises’debts.This not only enables the continuation of the enterprise’s legal entity status,preserving the enterprise’s brand,influence,and high-level qualification,but also separates the original claims and liabilities,reducing the pressure on enterprise reorganization,thereby optimizing resource allocation and assisting the enterprise in steady development.
