摘　　要：在消费行业股权投资过程中,尽职调查是评估潜在投资价值和风险的关键环节。文章以商业和财务尽职调查为核心,涉及法律和IT尽职调查,探讨投资机构视角下的消费行业股权投资中应完成的尽调调查步骤。通过分析各个尽调环节应包含的审查内容,文章旨在为投资者提供一套系统的尽职调查框架。面对行业信息不对称性、创始人行为不确定性、数据质量参差不齐、时间紧迫及内部利益冲突等挑战,文章提出了构建多领域协作网络、强化风险管理架构、融合人工智能财务工具、深入评估创始人特质以及持续提升风控团队能力等策略,以提高尽职调查的效率和精准度,最终助力投资者做出更为明智的投资决策。In the process of equity investment in the consumer industry,due diligence is the key link to evaluate the potential investment value and risk.This paper focuses on commercial and financial due diligence,involves legal and IT due diligence,and discusses the due diligence investigation steps that should be completed in equity investment in the consumer industry from the perspective of investment institutions.By analyzing the review content of each due diligence link,this paper aims to provide investors with a systematic due diligence framework.In the face of industry information asymmetry,the founder behavior uncertainty,uneven data quality,critical time and internal conflicts of interest,this paper puts forward some strategies,such as building collaboration network,strengthening risk management architecture,fusion of artificial intelligence financial tools,evaluating characteristics of the founder and continuously improving the risk control team ability,in order to improve the efficiency and precision of due diligence and help investors to make more sensible investment decisions.
