数据平台对消费者缔约利益的保护义务——以“郑育高与上海携程商务有限公司其他侵权责任纠纷案”为例

摘  要:消费者利用数据平台从事交易而受损害的情况实有发生,然而,发挥消费者保护作用的“三大权益”过于模糊,有待具体化。消费者缔约之际的利益指向了合同内容,实为一种缔约利益,遭受的损失为纯粹经济损失。在平台以强势代理人的姿态介入缔约双方合同订立的过程中时,对缔约利益负保护义务的主体应为有特别信赖关系的数据平台而非合同相对人。平台对缔约利益保护义务的限度可通过限制可归责性要件来实现,即将违反保护义务的可归责性限于故意违反善良风俗以及特别信赖关系中的过失。There have been cases where consumers have been harmed by using data platforms for transactions.However,the“three major rights”that can play a role in consumer protection are too vague and need to be specified.The interests of consumers at the time of contract signing point to the content of the contract,which is actually a contractual interest,and the losses suffered are purely economic losses.When the platform intervenes as a strong agent in the process of contract formation between the contracting parties,the entity responsible for protecting the contracting interests should be the data platform with a special trust relationship rather than the counterparty to the contract.The limitation of the platform’s obligation to protect contractual interests can be achieved by restricting the elements of liability,that is,limiting the liability for violating the protection obligation to intentional violations of good customs and negligence in special trust relationships.
