摘　　要：从公司利益视角出发,分析决议程序对合同效力的影响。存在有效决议时,合同原则上有效,但损害公司利益者例外。不存在有效决议时,依据公司利益进行实质审查,而非直接否定合同效力。在自我交易合同效力认定上,应构建以公司利益为核心的审查体系,严格遵循决议程序要求,确保自我交易合法性,从而实现公司利益最大化。From the perspective of corporate interests,this paper analyzes the impact of resolution procedures on the validity of contracts.When there is a valid resolution,the contract is in principle valid,except when it is detrimental to corporate interests.When there is no valid resolution,a substantive review should be conducted on the basis of the corporate interests,rather than directly denying the validity of the contract.In determining the validity of self-dealing contracts,a review system centered on corporate interests should be constructed,and the procedural requirements of the resolution should be strictly followed to ensure the validity of self-dealing,thereby maximizing the company′s interests.
