数据资产出资探析——基于公司法与数据法双重视角

摘　　要：数据资产出资拥有坚实的理论基础,数据资产契合出资标的物适格要件,符合公司法对出资形式的规定,且数据资产出资有益于数字经济发展与促进企业转型升级,顺应公司法发展趋势。然而,数据安全规范的模糊性以及合法转让数据资产依据的欠缺,使得数据资产出资困难重重,且现行公司法对非货币财产出资的规制措施难以防范数据资产出资风险。鉴于此,有必要根据当前数据治理与公司法制实践情况,构造数据资产合法转让基础,明确数据资产出资安全管理规范,合理协调数据流通与数据权益保护。同时,完善数据资产出资规制措施,将场内交易嵌入数据资产出资程序,明确数据资产出资人瑕疵担保责任,并建立数据资产出资风险防范机制,以此确保公司资本真实、充足。The equity investment with data assets has a solid theoretical foundation.Data assets meet the basic conditions for becoming company capital,comply with the provisions of the Company Law,and are beneficial to the development of digital economy and promoting enterprise transformation and upgrading,which is in line with the trend of the Company Law.However,the vague data security regulations and the lack of legal basis for transferring data assets make it difficult to invest in data assets.In addition,the regulatory measures for non-monetary property investment under the current Company Law are difficult to prevent the risks of data asset investment.Therefore,it is necessary to construct the legal basis for legitimate transfer of data assets based on current data governance and company law practices,clarify the safety management norms for data asset investment,and reasonably coordinate the circulation of data and the protection of data rights.At the same time,it is necessary to improve the regulatory measures for data asset investment,embed the on-site transaction into the process of data asset investment,improve relevant responsibilities,and establish a risk prevention mechanism for data asset investment,so as to ensure the authenticity and sufficiency of company capital.
