知情同意视角下隐私协议的价值证成与优化提升——成文法与民间法的融合探索

摘　　要：作为知情同意原则的表现形式之一,隐私协议是平台企业收集、处理个人信息时发送给用户满足其在完全知情的情况下做出同意与否的前置条件,但在实践中,隐私协议出现异化,继而使得知情同意原则亦陷入适用困境。以法律经济学为分析工具,借助于科斯定理的检视,隐私协议实现了存续的价值证成。站在成文法与民间法的融合视角,基于隐私协议之格式合同与商业惯例属性,发现用户友好型隐私协议可助力用户真实意思表达,该类型协议由基本条款与特别条款共同组成,其中基本条款由专家统一进行制定并经行政部门审查,在确保权威性的基础上,可降低用户阅读门槛;特别条款则由企业根据自身业务制定,并辅之以民间自治组织的监督,从而助力平台企业实现合规经营,为构建和谐、有序的社会秩序奠定坚实基础。As one of the manifestations of the principle of informed consent,privacy agreement is a precondition for platform enterprises to send users to satisfy their fully informed consent when they collect and process personal information,but in practice,privacy agreement is alienated,and then the principle of informed consent is also in a dilemma of application.Using legal economics as an analytical tool and the Coase Theorem as a review,privacy agreements realize the value of survival.Standing in the perspective of integration of statutory law and civil law,based on the attributes of form contracts and commercial practices of privacy agreements,it is found that user-friendly privacy agreements can help users express their true meanings,and this type of agreement consists of basic terms and special terms,of which the basic terms are uniformly formulated by experts and reviewed by the administrative department,which can lower the threshold for users to read on the basis of ensuring authority;the special terms are formulated by enterprises according to their own business and supplemented by the special terms.Special clauses are formulated by enterprises according to their own business and supplemented by the supervision of civil self-governance organizations,thus helping platform enterprises to achieve compliant operation and laying a solid foundation for the construction of a harmonious and orderly social order.
