摘　　要：《全面与进步跨太平洋伙伴关系协定》首次以专章形式规定国有企业与竞争中性事项。越南作为缔约国中唯一的社会主义国家,面对国内的国有企业数量较多、生产效率较低、利益结构复杂等问题,外部有符合CPTPP国有企业纪律的压力,其大力推进以“股份化”为核心的国企改革。随着改革逐步迈入深水区,越南越发注重法律制度的完善,其通过重构《企业法》《竞争法》等重要法律的相关条款,试图将法律作为重要治理手段进一步推进国企改革,以满足CPTPP相关要求。The Comprehensive and Progressive Trans-Pacific Partnership(CPTPP)provides for the first time in the form of a special chapter on state-owned enterprises(SOEs)and competition neutrality.As the only socialist country among the contracting parties,Vietnam,in face of the internal problems of a large number of SOEs,low productivity and complex interest structure,and the external pressure to comply with the CPTPP SOE discipline,is vigorously promoting the reform of SOEs with“shareholding”as the core.With the reform gradually entering deep water,Vietnam pays ever more attention to the improvement of its legal system.By reconstructing the relevant provisions of important laws such as the enterprise law and the competition law,Vietnam tries to further promote the reform of stateowned enterprises as an important governance means to meet the relevant requirements of the CPTPP.
