摘　　要：对股权让与担保的规制需进行体系化审视,此为对过往研究之方法论革新。股权让与担保规制需遵循体系化方法源自其构造的特殊性,当事人既是合同关系主体又是组织法关系主体。对股权让与担保规制需明晰民法的介入限度、公司法的介入理性及程序法的介入逻辑,以形成对股权让与担保规制的体系进路。于此规制体系内,针对债权人的身份资格、权利义务、处分股权的行为效力确认需以公司法为规范基点,将民法定位在为双方合同权利无法实现时的救济进路构建以及合同清算进路选取的规范基础上,相关民事执行程序及破产程序的权利义务配置需有效关怀民事诉讼法、企业破产法的相关程序性规定。The regulation of equity transfer guarantees needs to be systematically reviewed, which represents a methodological innovation in past research. The need for a systematic approach to the regulation of equity transfer guarantees stems from the uniqueness of its structure, where the parties involved are both subjects of contractual relationships and organizational legal relationships. The regulation of equity transfer guarantees requires clarity on the extent of civil law intervention, the rationale for corporate law involvement, and the logic of procedural law involvement, in order to form a systematic approach to the regulation of equity transfer guarantees. Within this regulatory framework, the identity qualifications, rights and obligations, and the effectiveness of the disposition of equity by the creditor need to be based on corporate law as the normative starting point. Civil law should be positioned as the basis for constructing remedies when the rights of both parties to the contract cannot be realized, and for selecting the liquidation path of the contract. The allocation of rights and obligations in related civil execution procedures and bankruptcy procedures needs to effectively consider the procedural provisions of civil procedure law and enterprise bankruptcy law.
