摘　　要：在量化交易领域,商业信息的秘密性、保密性及价值性,以及其载体的明确性,是认定其是否构成商业秘密的关键考量因素。量化交易领域专业性较强,关于交易策略源代码的鉴定意见在秘密性和同一性认定中发挥着重要作用。量化投资领域中,交易策略源代码直接影响交易结果,交易员不能随意查看其他交易员的交易策略源代码文件,员工以不正当手段获得公司构成商业秘密的交易策略源代码系对公司商业秘密的侵犯;因冲击成本等因素,员工即使将他人开发的交易策略源代码用于其本职工作,也可能损害公司利益,此类行为属于侵犯商业秘密的侵权行为。In the field of quantitative trading,determining whether business information constitutes a trade secret requires consideration of the clarity of its medium,as well as whether it possesses confidentiality,secrecy and value.As the specialization in the field of quantitative trading is strong,expert opinions on the identification of trading strategy source code play an important role in the determination of secrecy and identity.In the field of quantitative investment,trading strategy source code directly affects trading outcomes and has a significant impact on the operations of enterprises in the quantitative trading sector.Traders are not permitted to casually view the trading strategy source code files of other traders.An employee who acquires the company’s trading strategy source code that constitutes a trade secret through improper means is infringing upon the company’s trade secrets.Due to factors such as market impact costs,even using the trading strategy source code for one’s own job duties may harm the company’s interests,and such use is also considered an act of trade secret infringement.
