摘　　要：纪检监察体系与公司治理体系在目标上具有耦合性,即通过内部控制机制加强对关键人员的监督,提升组织透明度和责任落实。纪检监察体系融入公司治理,有助于优化营商环境、提升企业社会形象、强化市场竞争力以及推动公司治理法律制度的完善。纪检监察体系融入公司治理的前提条件包括特定的企业性质、规模和组织形式。具体融入方式包括静态要素和动态要素,静态要素应当强调独立纪检监察体系的重要性,包括权力配置、人员素质和工作绩效管理体系。动态要素涉及纪检监察机构的运行,包括与监事会、地方纪检监察机关的协调等。纪检监察体系融入公司治理框架需平衡监督与管理、内部与外部监督的关系,以确保企业健康有序运营。Discipline inspection and supervision systems and the corporate governance system share a coupling in their objectives,which aim to strengthen the supervision of key personnel through internal control mechanisms,thereby enhancing organizational transparency and accountability.Integrating the discipline inspection and supervision system into corporate governance helps optimize the business environment,improve the social images of enterprises,strengthen market competitiveness,and promote the improvement of the legal framework for corporate governance.The prerequisites for such integration include specific corporate attributes,such as the nature,the scale,and the organizational form of the enterprises.There are both static and dynamic elements in the integration process.Static elements should emphasize the importance of an independent discipline inspection and supervision system,including power allocation,personnel qualifications,and performance management mechanisms.Dynamic elements involve the operational aspects of discipline inspection bodies,such as coordination with boards of supervisors and local discipline inspection authorities.Integrating the discipline inspection and supervision system into the corporate governance framework requires balancing the relationship between supervision and management,internal and external supervision,to ensure the healthy and orderly operation of enterprises.
