施工总承包合同无效时工程款结算问题的探讨

摘　　要：为加强施工总承包合同管理,文章探讨可能导致施工总承包合同无效的几种情况,主要包括施工单位资质有瑕疵、违反招标投标有关规定等。在此基础上,文章分析了工程款结算的几个关键问题,探讨了工程款“折价补偿”的必要性与合理性,阐述了项目利润和工程款利息的计算方法,讨论了“好处费”的处理方式和“实际施工人”的权利,给出推动当事人积极修复工程质量问题的解决方案,提出在擅自使用未竣工验收项目时结算工程款的策略。To enhance the management of general construction contracting contracts,this study summarizes several scenarios leading to the invalidation of such contracts based on practical experience.These primarily include defective qualifications of construction units and violations of relevant bidding regulations.Building on this foundation,the analysis addresses key issues in the settlement of construction payments,explores the necessity and rationality of "discounted compensation" for project costs,and outlines the calculation principles for project profits and interest on construction payments.Additionally,it examines the handling of "kickbacks" and the rights of "de facto constructors," proposes solutions to incentivize parties to actively rectify project quality issues,and discusses the settlement of payments for unauthorized use of unaccepted projects.
