摘　　要：建立良好的公司治理结构是国有商业银行改革的核心环节。论证了公司治理结构包括内部治理和外部治理两个方面,并从正式与非正式的制度层面,分析我国国有商业银行公司治理结构的现状,认为所有者缺位、组织结构中的责权利关系不明、银行经理人员激励约束机制不健全以及外部治理机制的欠缺是现阶段国有商业银行公司治理结构不健全的主要表现。从而应该积极推进国有商业银行的产权制度改革,促进股权结构的合理化,建立和完善国有商业银行的公司治理组织结构,改革银行经理人员薪酬制度,形成有效的激励机制,并加快建立有效的国有商业银行外部治理机制。To establish appropriate corporate governance is the key task for reform of state owned commercial banks. The authors think that corporate governance consists of inside and outside governance through analyzing the present situation of corporate governance of state owned commercial banks. It concludes that the absence of the owner, unclearness with regard to relationships about responsibility, power and profit, the imperfection of encouragement in manners and the absence of outside governance are the main problems. Therefore, developing the form of a share system, establishing corporate governance structures perfectly, reforming the salary system of managers, and rapidly build up the outside governance are essential methods.
