摘　　要：阐述了传统公司治理结构的理论基础 ,即以股东本位为特征的和以董事会中心主义为特征的两种治理模式的思想渊源 ,分析了其在运行上的局限性和陷入困境的原因。总结了当代公司治理结构的发展趋势 :即由“单边”的模式向“多边”First, this paper elaborates the basic theories of the traditional corporate governance, which are the ideological origin of the two corporate governance models based on the characteristic of shareholder-positioned and board-centered, then it analyses their operating limits and the reason that they are falling into a predicament. Finally, this paper summarizes the tendencies to the modern corporate governance: the one-lateral model will be changed into the multilateral one of both co-governance and contingent governance.
