摘　　要：股份资本这一概念首先来源于马克思,希法亭在他的代表作《金融资本》中对股份资本理论进行了深入和系统的研究,包括股份资本与创业利润的内涵,股东的性质,股份公司的优越性,股票发行、价格变化与股票交易所,以及股份公司与股份资本的影响等内容。在希法亭股份资本理论的基础上,针对当前资本主义的经济现状,对股份资本理论进行进一步的研究,对于我国的国有企业改革、股份制改革以及股市制度改革等问题具有重大现实意义。The concept of share capital was first proposed by Marx,then was thorough and systematic studied by Hilferdingin his masterpiece'finance capital',including the connotations of the share capital and constitutive profit,the nature ofshareholder,the stock company's superiority,stock issuance and price changes,and the impact of share capital. On thebasis of Hilferding's share capital theory and current economic situation of capitalism,the further study of Share CapitalTheory will has great practical significance for the problems of China's state-owned enterprise reform and the joint-stock re-form and so on.
