摘　　要：对于董事的忠实义务 ,理论界进行了详尽的分析 ,但大部分仅限于对董事的在任忠实义务的探讨 ,而较少涉及董事离任义务。本文试就董事离任义务作一探讨。The loyalty responsibility of the director has been analyzed in theory field. But most of these analyses are limited to the discussion of the loyalty duty of the director on the job and are less about the duty of the director who leaves his post. The article tries to discuss this problem.
