摘　　要：通过对国外有关公司权力架构立法的比较研究,为我国未来公司的权力的构架提供一个相对完美的模式,并对我国《公司法》修改中的相关问题提出自己的看法。By a comparative study on the Legislation concerning the power framework of a company abroad, a relatively perfect mode is offered for the furture power framework of a company in our country; and the author's opinions on relevant problems are given for the revision of company law in our country.
