摘　　要：从《TRIMs协议》的主要内容着手 ,分析了当前外商投资法中与《TRIMs协议》冲突比较突出的四个问题 ,即投资主体资格的冲突、资本缴付的冲突、组织形式的冲突、内部机构设置的冲突 ,并就如何协调发展提出了思考。From the main content of agreement on TRIMs, the authors consider that there are four more conflict of china's foreign capital act with agreement on Trims, such as the qualification of investment, payment in capital ,the form and the institution of enterprise.Then, the paper offers the ways to deal with the above mentioned conflict.
